Why Summer Reese Is Still The Executive Director Of The Pacifica Foundation

by Policy Respect
January 30th 2014, Pacifica foundation signed a 3 year contract for Executive Director with Summer Reese. The relevant parts of that employment contract show why Summer Reese remains the Executive Director in spite of actions taken by “the board” * on March 13th.

We call for honoring the Executive Director's contract;
No selling of any Pacifica stations and fiscal accountability.
Help resist the coup.

Berkeley - At the Pacifica National Office at 1925 Martin Luther King Jr Way, the March 13th late-night attempted firing of the executive director, Summer Reese, is being resisted by Pacifica staff members and listeners. The dismissal, which happened at a late-night telephone meeting of Pacifica board members, with no prior notification and for no stated reason, looks headed to a court room.

Executive Director Summer Reese returned to work and allowed Pacifica staff members to return to work Monday morning by removing the padlock that had been placed on the door.

The Pacifica National Board has not met since March 13th and is not scheduled to meet again until March 20th. Several incumbent directors stated they had not received any notification of nor been asked to consent to the action initiated by the board regarding the meeting of the 13th.

On the evening of Monday March 17th, a small number of coup supporters tried to force the employees out of the Pacifica office, but they left unsuccessful.

On the morning of the attempted firing, it is reported Berkeley station KPFA next door had refused to turn over its financial records for an annual audit. Many thousands of dollars in event income from the last two-dozen speaker series events, for example, have reportedly not been accounted for.

The legitimacy of the election of the Pacifica National Board officers is being contested by the minority directors for several reasons.

WHY SUMMER REESE IS STILL THE EXECUTIVE DIRECTOR OF THE PACIFICA FOUNDATION
On January 30th, 2014 the PACIFICA FOUNDATION signed a 3 year contract for Executive Director with Summer Reese. The relevant parts of that employment contract below show why Summer Reese remains the Executive Director in spite of the action taken by the *board on March 13th.

THE CONTRACT SAYS:

V. TERMINATION FOR CAUSE

Summer Reese shall be removable by Pacifica for cause for the duration of this employment contract and, in that event, Pacifica shall pay Reese severance pay equal to her base salary for the remaining duration of the contract up to a maximum of one year's salary, along with accrued vacation time up to the stated cap. Any termination proceedings will be subject to the Progressive Discipline policies as articulated in the Pacifica Employee Handbook.
The following constitutes cause and its grounds to terminate the employment of Reese.

(i) A willful breach of this Agreement or the willful and repeated neglect by Reese to perform duties that she is required to perform as Executive Director;
(ii) Being charged with any criminal act related to employment at Pacifica;
(iii) Conduct that violates Pacifica's established work rules in a substantial manner.

VI. SEVERANCE

In the event Pacifica removes Reese for cause after the probationary period, Pacifica shall pay Reese severance pay equal to her base salary for the remaining duration of the contract up the a maximum of one year's salary, along with accrued vacation time up to the stated cap. In the event Reese voluntarily separates from Pacifica during the duration of this contract Pacifica shall pay Reese accrued vacation time up to the stated cap. Reese may only be terminated for cause during the duration of the contract.

VII. PROBATION

The first six (6) months of employment shall be probationary, up to and including the 30th day of July 2014. During the probationary period, Reese shall be compensated as set out in this agreement. During the probationary period, Pacifica shall perform a system-wide performance evaluation of Reese's performance.

If Pacifica should terminate this agreement during the duration of the probationary period, Pacifica shall complete a performance evaluation, demonstrate cause as set out in Paragraph V of this document, and Pacifica shall compensate Reese with 6 months of severance pay equal to her base salary along with accrued vacation time up to the stated cap. A termination during the probationary period would be subject to Human Resources review before being finalized.

Pacifica acknowledges that Reese has filled the position of Interim Executive Director for the period of August 17, 2012 to January 29, 2014 for a period of 17 months, as an at-will employee of the Pacifica Foundation at a salary of $72,000 a year, with identical job duties and work schedule to the position described in this 3-year employment contract. Accordingly, no further period of at-will employment is required prior to the January 30, 2014 beginning date of this employment contract.

*The legitimacy of the election of the Pacifica National Board officers is being contested by the minority for several reasons.

Is this the language from the original contract approved by the board, or is it the one Richard Uzzell substituted on the last day of the board's term before his faction lost the majority?

Trying daily to just find actual factual reasonable info on internet without the obviously maliciously slanted versions is difficult ! or rather, to learn what is actual and happening is either hidden or unspoken, unwritten, secret and as in the usual Pacifica games of secrecy and maneuverings, are not available.

The usual biased games have suddenly magnified to the top in search engines now. Pacifica and it's local stations hypocritically say they believe in 'freedom of speech' and 'transparency'... thus claiming the Right to criticize and decry all others of manipulating behind closed secreted doors and drawers.

But then peace-activists all do worse and more of the same without admitting their own secret collusions of DIVIDE the people, break up the goals and scatter the effects of the 'news' and 'programs' the stations claim are true and unique - and they easily then discard higher claimed values. along with their MISSION statement - that ideal that has been eroded and forgotten.

This brief article adds more information than all the rantings and alliances and self-serving interests or even the general sensationalism preferred by other sites.

Thanks and please Follow UP with more and share your sights widely.

It's not informative if you don't know the motivation of the original poster and they give no context and no link for the section of the contract they are providing. It's one potentially very biased side of a story.

Do you people have any idea how absolutely batty you look? Everyone on all sides of this schoolyard spat should be ashamed of themselves, but I fear they're so far gone that they are incapable of feeling shame.

"Do you people have any idea how absolutely batty you look? Everyone on all sides of this schoolyard spat should be ashamed of themselves, but I fear they're so far gone that they are incapable of feeling shame"

This is not a schoolyard spat. This is, on the one side, an attempt to take over KPFA, at the expense of destroying the only progressive radio network in the US, with 5 stations and 180 affiliates, and on the other, to save it so it can continue to bring truth to the airwaves and serve communities.

With this comment you are either deliberately or out of ignorance aiding its destruction.
This is a typical troll/destroyer post - short, using abusive language, devoid of factual content.
I believe the government has assets who are put up to this activity.

If out of ignorance, either study what's really going on here, or stay out of the argument.

There is much information at supportkpfa.org . (The lies are at "Save" KPFA.)

The main post by the anonymous "Policy Respect" says Pacifica acknowledges Summer Reese earned $72,000/yr. The legal complaint filed on behalf of Reese, linked at supportkpfa.org, lists her salary for a 3-year contract at $315,000 or $105,000/yr. That's quite a bit to run a listener-supported network that's in financial trouble. The 11 of 22 Board members who voted to fire her may be saving the network some money.

Thanks for continuing to try to make sense of it when a lot of people just throw up their hands. It's a real struggle, with real issues that have to do with both KPFA content and KPFA's relationship to the community.
by Ann Garrison
It's more than a schoolyard spat. If you don't have time for it, that's cool. But there are real issues that have to do with both KPFA content and KPFA's relationship to its community, within its fm signal area and in its online community.

Come out from under your delusions and take a look around "Long Time Listener Supporter." No one cares about this. No one is going to read any of your silly websites. There are no "good guys" here fighting the "good fight." There is no "greater cause." It's just a bunch of seriously out of touch people behaving like overgrown children. The fact that you people can't see that is the real pity.

I issue this challenge. Ask the first 10 random people about this and see if they care. I'm not talking about people in your narrow little circle. I'm talking ordinary people, say at a grocery store in, I don't know, Redwood City or Concord or somewhere in the signal area. Ask them what they think about KPFA, or any of this nonsense. See if anyone knows, or cares about this rubbish. And no it's not because they're "uninformed" or controlled by the "mass media" or any of the arrogant terms people like you use to describe people that don't agree with you. It's because they're living their lives and have more important things to think about.

The "majority" on the Pacifica National Board (PNB) comprises only eleven (11) directors, since the twelfth, viz., Tony Norman, is deemed under the Bylaws to have resigned on the moment he simultaneously held a public office, i.e., a Commissionership on Advisory Neighborhood Commission 1B of the District of Columbia. Therefore, under the Bylaws, Norman putatively resigned from any seat on PNB.

The Bylaws also *require* that PNB comprise a "minimum" of twenty-two (22) Director-seats. Eleven is one half that number; it is not a "majority."

All this talk about a "majority" and "minority" had best be put aside while PNB is not fully constituted!

Reese says she has no Social Security number for religious reasons. That's really strange. Has it been established that that is her real name? Where did she go to college?
